Surrendered its SEBI SM REIT registration, SEBI cautioned investors

SEBI accepted Strata's surrender of its Small and Medium REIT registration after reviewing legal proceedings involving a promoter. It told investors to exercise caution and barred the company from presenting itself as SEBI-regulated. Strata had launched no scheme and keeps selling SPV stakes outside the framework.

About

Strata is run by Everstrat Property Management, a company incorporated in 2019 and based in Bengaluru. It lists Grade A commercial buildings, mostly leased offices, and sells you a minority stake in a special purpose vehicle that owns each one. Strata manages the building and the tenant, collects the rent and pays it out, then sells the asset after a few years and shares the proceeds. The site reports more than ₹3,800 crore of assets under management and over ₹260 crore of rent distributed. The risk disclosure explains the terms that matter. Each opportunity sets a lock-in of three to six months, after which you can try to sell your stake, but as a minority holder your rights depend on a majority of the other investors and a sale is never assured. Strata is paid a performance fee, a share of the net profit when the asset is sold, with the percentage set in each deal's documents. No entry or annual platform fee is published. In May 2025 Strata surrendered its SEBI registration as a Small and Medium REIT without ever launching a scheme, after legal proceedings involving a promoter. SEBI accepted the surrender and told investors to be cautious when dealing with the entity. The platform describes itself as RERA registered and keeps listing new properties outside the SM REIT framework.
